Terms of service

Who we are
Roughneck is sales software for oilfield service companies. The company that operates it, Bootstrap Digital, Inc., is a Texas corporation in formation. Its Texas file number will be stated here, and on the face of every agreement, before any shop signs one. Until then nothing on this site is an offer to contract. Reach us at connect@roughneckcrm.com.
The service
Roughneck reads what state oil and gas regulators publish, turns those filings into calls worth making, and carries an account from that first call through to a signed document. It keeps your accounts, your contacts, your quotes and your won work, and it is bought per shop, with each state you pick priced on your quote.
What the service does not do: it is not accounting software, and it does not sell or share leads between shops. We do not guarantee that any filing produces work, that a phone number in a public record still reaches anybody, or that a state will keep publishing what it publishes today. Where a record is stale the app says so rather than hiding it.
Accounts and founder codes
Every shop is set up by hand. Access is opened by a founder code cut by hand for one shop, and a code is issued once payment for that shop has cleared. A code carries the states, the add-ons and the size band that were paid for, and it opens exactly those and nothing else. The entitlement is enforced on our server, not in the browser, so choosing more in a form does not grant more.
A founder code is for the shop it was cut for. It is single use, it expires, and passing it to another company is a breach of these terms. You are responsible for who you invite into your own shop and for what they do there.
Fees and billing
There are three recurring charges: the app, each add-on you choose (priced per seller), and each state. One charge is not recurring: setting you up, which is paid before your first sign-in and covers getting your shop ready to work. An agreement runs for twelve months. The recurring charges are billed monthly by default; paid up front for the twelve months, they take ten percent off the recurring part and nothing off setting you up. Two billed states take ten percent off the whole monthly total, three or more take fifteen percent.
A state you have bought is not billed until it produces its first alert, however long that takes. North Dakota, Alaska, Wyoming and Arkansas are listed as free and not billed while they stay free. Prices are quoted in US dollars, in writing, per shop, and a price quoted to you holds for thirty days. Invoices are paid by the method on the invoice. If you choose to pay by card, we show you each recurring charge, its amount and when it is taken, and charge the card only after you have agreed to that in writing. You can stop card charges by email at any time and we confirm it in writing. There is no card form on this site.
Recurring charges go up by five percent at each anniversary of your start date. The document you sign shows the figure for the second year, and we confirm the new amount in writing at least thirty days before it applies. We do not otherwise change a price you are paying during a term.
Your data and the public record
Two different things live in Roughneck and they are not treated the same.
The public record is what the state publishes: operators, wells, filings and whatever contact details appear on those filings. It is nobody's property here. Every card links the record it came from so you can check it yourself. The public record is shown as the state published it, and it is not endorsed by any state or state agency. Data sources and disclaimer says more.
Your customer list is everything else: your accounts, your contacts, your notes, your rates, your quotes and your outcomes. It is yours. No other shop can see it, we do not sell it, we do not share it with anyone we do business with, and we do not use one customer's list to build anything sold to another. Each shop's data is separated on the server and that separation is enforced by the database rather than by the application.
Download your own work any time: your calls, visits, notes, the people you added, your customers and your quotes, as spreadsheets. The download is on for the owner and the sales leader, and the owner can switch it on for reps. The state's filings are public record and stay in the app.
Signed documents and the certificate
A document signed in Roughneck carries both marks, both names and titles, the times, and a twelve-character code anyone can check without an account. Each party gets a copy. The record is sealed in an append-only log on our server that the signing shop cannot edit.
Said plainly: a mark made in Roughneck is an electronic signature under the Texas Uniform Electronic Transactions Act and the federal E-SIGN Act. Roughneck records the marks, the names given, the times and the device; it does not verify who made a mark unless the shop turns on the ID check, and it never verifies that a signer has authority to sign for a company. We print those limits on the document itself, because a vendor who oversells this is the one nobody should sign with. How it works for the person signing is set out in Electronic signatures.
Whether a marked document forms a contract between you and your customer is a matter between you and your customer. Roughneck is not a party to it.
Acceptable use
Do not use Roughneck to send anything unlawful, to contact people who have told you to stop, or in a way that breaks the telephone and messaging rules that apply where you are calling. Do not resell access, share a founder code outside the shop it was cut for, or attempt to reach another shop's data.
Fair use. Seats are for the people at your company who sell, each signing in as themselves. Do not copy or extract what Roughneck shows in bulk or by automated means, including scripts, scrapers and bots, and do not use Roughneck or anything it shows as a data source for another product or service. Downloading your own work from Settings is not limited by this.
The gift log holds what you enter against the policy you tell us your customer has. It is a record, not approval, and it is not advice about what you may lawfully give anyone.
Termination
An agreement runs for the twelve months on the document you signed. It then renews automatically for another twelve months, and again each year after, unless either of us gives written notice at least thirty days before the term ends. We remind you in writing between thirty and sixty days before each renewal, with the renewal price and how to cancel. To cancel, email connect@roughneckcrm.com from an owner's address, and we confirm it in writing.
We may suspend an account for non-payment or for a breach of acceptable use, and we will say which and give you a chance to fix it where fixing it is possible.
If either of us ends it, you can download your own work as spreadsheets for ninety days after the agreement ends. After that we delete it from the service, and sooner if you ask.
The fee for setting you up is refunded in full if we have not given your people sign-in within thirty days of receiving it, or if we end the agreement before we do. Otherwise it is not refunded once the work has begun. Prepaid months are refunded only if we end the agreement without cause, or if you end it because we broke it and did not fix it within thirty days.
Liability
Roughneck is a tool for finding and closing work. It is not a guarantee of work, and we are not responsible for a job you did not win, a call you did not make, a number that had changed, or a filing a state published wrong or late.
The full customer terms, including the limit on our liability, are with counsel. They will be published here, and signed by both sides, before any shop pays.
Governing law
Texas law governs, and disputes go to the state and federal courts in Montgomery County, Texas. The full customer terms set this out, including the rule for a shop based in Montana.
Changes to these terms
If we change these terms we update the date at the top of this page. If a change matters to a shop that is already paying, we tell that shop in writing at least thirty days before it takes effect. A change does not apply to the term you are in unless you agree to it or the law requires it. It applies from your next renewal.
